Rovers released a statement on Thursday stating "there has been specific interest from an American company and talks are at a very early stage".
And that has been followed up by confirmation from Club 9 Sports via their official website.
A statement from the Chicago-based sports investment company read: "We can confirm that Club 9 Sports has an interest in possible investment in or acquisition of Tranmere Rovers FC.
"As such, he have had preliminary discussions with chairman and majority owner Peter Johnson. However, those discussions remain ongoing and are at a stage whereby further comment at this time is not productive."
Sheffield Wednesday were in drawn-out investment negotiations with the American company before ending their talks without success last May, and the Yorkshire club were subsequently bought by Milan Mandaric in November.
